Engagement Status Updates

Healthology International Inc. (the “Bankrupt“) filed an assignment in bankruptcy on May 19, 2025, and Baigel Corp., Licensed Insolvency Trustee, was appointed as trustee of the estate of the Bankrupt (the “Trustee“).

The first meeting of the creditors of the Bankrupt was held by videoconference on June 5, 2025, at 10:00 A.M. (ET). The appointment of Baigel Corp. as Trustee was confirmed by the Bankrupt’s creditors at the first meeting of creditors.

Property for Sale

The Trustee is soliciting offers to purchase the Trustee’s right, title and interest, if any, in and to the Bankrupt’s personal property and intellectual property (the “Sale Process“). Parties interested in submitting an offer to the Trustee for some or all the Bankrupt’s property must submit their offer(s) by email to the Trustee no later than 5:00 P.M. (ET) on Tuesday, June 24, 2025.

Update – July 4, 2025: On July 9, 2025, the Trustee will bring a motion to the Ontario Superior Court of Justice (Commercial List) (the “Court“) seeking orders:

  • approving the bill of sale (the “Bill of Sale“) between the Trustee and Healthology Nutraceutical Inc. (in such capacity, the “Purchaser“), as assignee of Prairie Naturals Health Producs Inc., and the transaction contemplated therein, pursuant to which the Purchaser has agreed to purchase all of the Trustee’s right, title and interest, if any, in and to the Purchased Assets (as defined in the Bill of Sale) and vesting the Purchased Assets in the Purchaser free and clear of any and all security interests, encumbrances, estates, rights and claims;
  • approving the Report of the Trustee dated July 3, 2025 (the “Report“) and the activities of the Trustee described therein;
  • sealing the confidential supplement to the Report, including the unredacted Bill of Sale and the summary of offers received by the Trustee during the Sale Process;
  • approving the fees and disbursements of the Trustee and its legal counsel, Capstone Legal, up to and including July 1, 2025; and
  • such further and other relief as the Court deems just.

Update – July 9, 2025: On July 9, 2025, the Court granted the relief sought by the Trustee summarized above. Copies of the relevant Court orders and the endorsement of Justice Kimmel are available for viewing or download via the links below.
